Acceptance of Terms

By engaging Azuma Innovations ("we," "our," or "us") for any services, you ("the Client") agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please do not use our services.

These terms apply to all services offered by Azuma Innovations, including but not limited to AI strategy, generative-AI systems, predictive analytics, AI engineering and integration, and bundled AI engagements.

Services Description

Azuma Innovations provides bespoke AI engineering services including AI strategy and roadmapping, generative-AI and LLM systems, predictive analytics, full-stack AI engineering and integration, and related professional services. The specific scope, deliverables, and timeline for each project will be outlined in a project proposal or agreement provided before work begins.

Intellectual Property

Client Ownership: Upon full payment, the Client owns all final deliverables produced specifically for their project, including software, models, dashboards, and custom-built AI solutions.

Azuma Innovations Retains: We retain ownership of our proprietary methodologies, frameworks, tools, templates, and any pre-existing intellectual property used in the delivery of services. We may also use anonymized or generalized versions of project work in our portfolio unless otherwise agreed in writing.

Third-Party Assets: Some deliverables may incorporate third-party assets (stock images, fonts, open-source software) subject to their own license terms. We will inform you of any such inclusions.

Service Limitations

While we strive to deliver the highest quality work, we do not guarantee specific business outcomes such as increased revenue, search engine rankings, or follower counts. Results depend on many factors beyond our control, including market conditions, client implementation, and third-party platform changes.

Timelines provided are estimates based on standard project complexity. Delays caused by late client feedback, scope changes, or third-party dependencies may extend delivery dates.

Payment Terms

Deposit: A 50% deposit is required before work begins on any project.

Balance: The remaining 50% is due upon completion and delivery of the project.

Milestone Payments: For projects exceeding GH₵1,000, we offer milestone-based payment schedules. Specific milestones and payment amounts will be outlined in the project proposal.

Late Payments: Invoices are due within 7 days of issuance. Late payments may result in project suspension until the outstanding balance is settled.

Payment Methods: We accept mobile money (MTN, Vodafone, AirtelTigo), bank transfers, and credit/debit cards via Paystack.

Refund Policy

Before Work Begins: If you cancel before any work has started, you will receive a full refund of your deposit.

After Work Begins: If you cancel after work has commenced, a partial refund will be issued based on the percentage of work completed. The refund amount will be calculated and communicated transparently.

After Client Approval: Once you have reviewed and approved the final deliverables, no refunds will be issued. We encourage thorough review during the revision process.

Revisions: Each service includes a specified number of revision rounds. Additional revisions beyond the included rounds will be quoted separately.

AI and Data Processing

Many of our services utilize artificial intelligence tools and technologies to enhance efficiency and quality. We implement the following safeguards:

  • All AI-generated content is reviewed and refined by our team before delivery
  • Client data used in AI processing is handled in accordance with our Privacy Policy
  • We do not use client data to train third-party AI models without explicit consent
  • AI tools are used to augment human expertise, not replace professional judgment

Data Breach Notification

In the event of a data breach that affects your personal information, we will:

  • Notify affected clients within 72 hours of discovering the breach
  • Provide details about the nature of the breach and the data involved
  • Outline the steps we are taking to contain and remediate the breach
  • Offer guidance on steps you can take to protect yourself

Limitation of Liability

To the maximum extent permitted by law, Azuma Innovations shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the use of our services. Our total liability for any claim shall not exceed the total amount paid by the Client for the specific service giving rise to the claim.

Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Ghana. Any disputes arising from these terms shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the appropriate courts of Ghana.

Changes to Terms

We reserve the right to update these Terms and Conditions at any time. Significant changes will be communicated to active clients via email. Continued use of our services after changes are posted constitutes acceptance of the revised terms.
